1. About this Policy
Motionworks AI, Inc. ("Motionworks," "we," "us") operates a measurement and population-intelligence platform that is delivered, in part, through white-labeled applications distributed under partner branding (each, a "Distribution"). The Geopath Insights Suite is one such Distribution.
This Usage Policy (the "Policy") governs your access to and use of any Motionworks-operated application that you reach through a white-labeled sign-in, regardless of the branding shown on that sign-in surface.
By clicking "Log In," creating an account, or otherwise accessing a Distribution, you agree to this Policy. If you do not agree, do not access the Distribution.
This Policy supplements, and does not replace, any separate agreement that you or your organization may have with the partner that distributes the application to you. Where that partner agreement is silent, this Policy controls.
2. Defined terms
- "Distribution" means any Motionworks-operated application made available under partner branding, including (for example) the Geopath Insights Suite.
- "Distribution Partner" means the organization under whose brand a Distribution is offered to you (for example, the organization whose mark appears on your sign-in screen).
- "Distributor Data" means audience, location, market, inventory, demographic, or other data licensed or contributed by a Distribution Partner and made available to you through a Distribution.
- "Motionworks Platform" means the underlying measurement infrastructure, models, software, code, configurations, and documentation operated by Motionworks to deliver Distributions.
- "Output" means any report, visualization, dataset, plan, ranking, score, file, export, or other result produced by a Distribution in response to your use.
- "You" means the individual using the Distribution under a named account and, where applicable, the organization the individual represents.
3. Account eligibility and security
- You must be authorized by the applicable Distribution Partner, or by an organization with a valid subscription to a Distribution, to access that Distribution.
- You must keep your login credentials confidential and may not authorize any third party to access or use a Distribution on your behalf.
- Account sharing, credential resale, and use of one account by multiple individuals are prohibited.
- You are responsible for all activity occurring under your account, including any activity by automated agents or scripts operating under your credentials.
- You must promptly notify privacy@mworks.com if you suspect any unauthorized access to your account.
- Motionworks may suspend any account where credentials appear to be shared, sold, or compromised. Motionworks is not liable for any loss or damage arising from unauthorized use of your account.
4. Acceptable use
You may use a Distribution to plan, evaluate, transact, verify, attribute, or report on out-of-home, place-based, and cross-channel media activity, in each case for your own internal business purposes or for the benefit of your organization's clients.
You may not, and you may not permit any third party to:
4.1 Compete using Distribution data
- Develop, fund, market, or operate any product, service, model, or dataset that is held out as an alternative to or replacement for the Motionworks Platform or for a Distribution Partner's measurement.
- Combine Distributor Data or Motionworks-generated Output with third-party measurement data in a manner intended to produce a competing audience currency, reach and frequency standard, or attribution standard.
- Use a Distribution to design, develop, build, market, or support a competing product or service, or any product or service that uses similar ideas, features, functions, or graphics to the Motionworks Platform.
- Copy any ideas, features, functions, or graphics of the Motionworks Platform or any Distribution.
4.2 Resell or redistribute raw data and outputs
- Resell, redistribute, sublicense, sell, transfer, assign, or otherwise make available raw Distributor Data, raw Output, or substantially-raw derived data as a standalone product to any third party.
- Output may be incorporated into your own products and reports for delivery to your clients, provided that the Output is materially transformed, displayed with the attribution required in Section 5, and cannot be reverse engineered to reconstitute the underlying data at impression-level, panel-level, or individual-level granularity.
4.3 Modify, reverse engineer, or attempt to reconstruct
- Modify or create derivative works based on the Motionworks Platform, a Distribution, Distributor Data, or any Output, except materially-transformed incorporation of Output as permitted by Section 4.2.
- Reverse engineer, decompile, disassemble, decode, or attempt to derive the source data, panel composition, modeling logic, identity graph, or model weights underlying the Motionworks Platform or any Distribution.
- Re-identify or attempt to re-identify any individual from any Output.
4.4 Misuse automation, exports, or APIs
- Circumvent rate limits, export quotas, billing controls, or authentication mechanisms.
- Operate multiple accounts to evade plan limits or export caps.
- Use automated agents, scrapers, or scripts to extract content in bulk except through documented APIs and within published rate limits.
- Use a Distribution to generate misleading, fabricated, or fraudulent measurement data or analytics.
4.5 Prohibited regulated uses
You may not use a Distribution, Distributor Data, or any Output:
- To determine eligibility for, or adverse terms and conditions of, employment, credit, healthcare treatment, or insurance (including health insurance).
- For any purpose for which a consumer report may be used under the Fair Credit Reporting Act (15 U.S.C. § 1681 et seq.).
- In any way that could result in disparate impact or disparate treatment on a prohibited basis under the Equal Credit Opportunity Act (15 U.S.C. § 1691 et seq.) and Regulation B, the Fair Housing Act (42 U.S.C. §§ 3601 et seq.), the Equal Opportunity Act, or any analogous law.
- To negatively characterize, score, exclude, or restrict any ZIP code, ZIP+4, ZIP+6, household, neighborhood, or population segment in a way that could result in disparate impact or treatment under any of the laws identified above.
- For surveillance, tracking, profiling, or targeting of identified individuals, or any purpose that violates applicable privacy laws.
4.6 Legal and administrative proceedings
You may not use a Distribution, Distributor Data, or any Output as evidence or exhibit material in any legal, regulatory, arbitral, or administrative proceeding without first giving Motionworks reasonable advance written notice and obtaining the confidentiality agreements, protective orders, and evidentiary stipulations that Motionworks reasonably requests. Where such use is compelled by legal process, you will limit disclosure to the minimum necessary to comply.
4.7 Export controls and prohibited parties
You may not, through your use of a Distribution:
- Provide export-controlled material, technology, or technical data, or provide export-controlled services, in violation of U.S. export control laws (including the Export Administration Regulations and the International Traffic in Arms Regulations).
- Transact with, transfer Output to, or otherwise engage with any party, country, or region designated as a sanctions or prohibited target under U.S. law, including OFAC-listed Specially Designated Nationals and sanctioned jurisdictions.
4.8 Compliance with law and industry standards
You must comply with all applicable local, state, national, and foreign laws, directives, treaties, and regulations governing your use of a Distribution, including those related to data privacy, marketing, international communications, and the transmission of technical or personal data. You must also comply with the Direct Marketing Association ("DMA") Guidelines for Ethical Business Practice, as in effect from time to time, and any successor industry code of conduct adopted in writing by Motionworks.
4.9 Other prohibited conduct
- Use a Distribution in violation of any applicable contract or third-party right.
- Transmit malicious code, viruses, or content designed to disrupt a Distribution, the Motionworks Platform, or any related infrastructure.
5. Attribution
When you incorporate Output into any client-facing, public, or third-party-facing deliverable, you must display attribution in the form required by the applicable Distribution Partner's then-current usage guidelines. Where no Distribution Partner form is specified, the default required language is:

You may not modify, abbreviate, obscure, or remove required attribution.
6. Data, outputs, and intellectual property
- Distributor Data. All right, title, and interest in and to Distributor Data remain with the applicable Distribution Partner and its licensors. You receive only a limited, non-exclusive, non-transferable, revocable right to access Distributor Data through the Distribution for the purposes described in Section 4.
- Motionworks Platform. All right, title, and interest in and to the Motionworks Platform, including its software, models, identity logic, configurations, and documentation, remain with Motionworks. No license to the Motionworks Platform is granted by this Policy except the limited right to use the Distribution as delivered.
- Output. Subject to your continued compliance with this Policy and any applicable Distribution Partner agreement, you may use Output as required to operate your business and serve your clients, including materially-transformed incorporation into your own deliverables.
- Your inputs. Plans, lists, briefs, files, parameters, and other materials that you upload or enter into a Distribution ("Your Inputs") remain your property. You grant Motionworks (and the applicable Distribution Partner, where required) a limited license to process Your Inputs solely to deliver the Distribution to you and to operate, secure, and improve the Motionworks Platform.
- Your responsibility for inputs. You are solely responsible for the accuracy, quality, integrity, legality, reliability, appropriateness, and right to use Your Inputs. You represent that Your Inputs have been and will be created, collected, used, disclosed, maintained, stored, and transmitted in compliance with all applicable laws.
- Sensitive Data prohibited in inputs. You may not upload, enter, or transmit, and you may not permit any third party to upload, enter, or transmit, the following data through a Distribution: Social Security numbers; financial account numbers; payment card data; protected health information ("PHI") as defined under HIPAA; driver's license numbers or other government-issued identifiers; dates of birth; biometric identifiers; precise geolocation data of identified individuals; or any similarly sensitive personal information (collectively, "Sensitive Data"). You accept all liability for any claim arising out of or related to Sensitive Data submitted by you or on your behalf in violation of this restriction.
- Feedback. If you provide feedback, suggestions, or improvement requests, you grant Motionworks a perpetual, royalty-free license to use that feedback to improve the Motionworks Platform and any Distribution, without obligation to you.
7. Account information and privacy
For your use of a Distribution, Motionworks collects and processes the following:
- Account information: name, work email address, organization, job title (where provided), authentication identifiers, hashed credentials, and last sign-in metadata.
- Usage information: pages and features used, queries run, exports generated, request metadata (timestamp, IP address, user agent), and error or diagnostic logs.
- Communications: the content of support requests, sales inquiries, and other correspondence you direct to Motionworks or to the applicable Distribution Partner through the Distribution.
This information is used to operate, secure, troubleshoot, and improve the Distribution; to verify entitlement and prevent abuse; to fulfill Motionworks' obligations to the applicable Distribution Partner under the underlying service arrangement; and to communicate with you as described in Section 8.
Motionworks' general practices for account, usage, and billing information are described in the Motionworks Privacy Policy. That Privacy Policy applies to your account data in the Distribution, with the additions and clarifications in this Section 7.
A Distribution does not collect, store, or process personally identifiable information about the individuals whose movement is reflected in audience measurement. Output is aggregated, de-identified, population-level data.
8. Communications consent
By creating or maintaining an account in a Distribution, you consent to receive the following communications at the email address associated with your account, sent by Motionworks, by the applicable Distribution Partner, or by Motionworks on a Distribution Partner's behalf:
- Operational and transactional messages. Account, security, authentication, billing, service-availability, incident, change-management, breach-notification, methodology-update, release-note, and policy-update messages directly related to your access to the Distribution. These messages are required for delivery of the Distribution and cannot be opted out of while you maintain an active account.
- Support and troubleshooting messages. Replies to support tickets, outreach in response to suspected misuse, follow-up on usage anomalies, and direct outreach when Motionworks staff need to reach you regarding your use of the Distribution.
- Product and commercial messages. Product announcements, feature releases, training invitations, research surveys, event invitations, case studies, and other marketing communications about the Distribution, the Motionworks Platform, and related products and services.
Each commercial message will identify the sender, will identify Motionworks AI, Inc. as the underlying service provider where required by law, and will include a clear mechanism to opt out of further commercial messages. Opting out of commercial messages does not opt you out of operational, transactional, or support messages described above, which are necessary to operate your account.
This Section 8 is intended to satisfy the consent and notice requirements of the U.S. CAN-SPAM Act (15 U.S.C. § 7701 et seq.) and analogous state or international laws applicable to your use of the Distribution. Motionworks' postal address for CAN-SPAM purposes is published in Section 15.
9. Confidentiality of platform information
The Motionworks Platform, the design and behavior of a Distribution, non-public methodology details, beta or unreleased features, pricing offered to your organization, and any non-public materials marked or reasonably understood to be confidential constitute confidential information of Motionworks and the applicable Distribution Partner. You will use the same degree of care to protect this confidential information as you use to protect your own confidential information of similar importance, and in no event less than a reasonable standard of care. You will not disclose such confidential information to any third party except as expressly permitted under this Policy or compelled by law (and in the case of compelled disclosure, only after providing Motionworks reasonable advance notice and an opportunity to seek a protective order). This obligation survives termination of your access.
10. Suspension and enforcement
Motionworks may, in its reasonable discretion and without prior notice in cases of suspected abuse, harm, security risk, or material breach:
- Throttle or rate-limit your access to the Distribution.
- Suspend your account or specific credentials.
- Coordinate with the applicable Distribution Partner regarding termination of your access for cause.
- Pursue any other remedy available under applicable law.
For non-urgent violations, Motionworks will provide notice and a reasonable opportunity to cure before taking action.
11. Relationship to other policies
This Policy operates alongside the following documents, which are incorporated by reference where applicable to your use of a Distribution:
- The Motionworks Privacy Policy, which describes how account, usage, and billing information is handled by Motionworks.
- The Motionworks Sub-processors list, which identifies the third-party providers Motionworks engages to operate the underlying platform.
- Any subscription, membership, or data-license agreement between your organization and the applicable Distribution Partner, which controls commercial terms, entitlements, and pricing for Distribution access.
In the event of a conflict between this Policy and an executed agreement between a Distribution Partner and your organization, the executed agreement controls for the matters it expressly addresses.
12. Changes to this Policy
Motionworks may update this Policy from time to time. Material changes will be communicated by email to the address associated with your account at least thirty (30) days prior to the effective date, or posted in the Distribution with an updated "Last Updated" date. Continued use of the Distribution after the effective date constitutes acceptance of the revised Policy.
13. Disclaimers and limitation of liability
A Distribution and all Output are provided on an "as is" and "as available" basis. Motionworks disclaims all warranties to the maximum extent permitted by law, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. Output is a modeled, aggregated estimate and is not a guarantee of audience, exposure, performance, or financial result.
To the maximum extent permitted by applicable law, Motionworks and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or in connection with your use of a Distribution, whether based in contract, tort, or any other theory.
Nothing in this Section 13 limits liability that cannot be limited as a matter of applicable law.
14. Governing law
This Policy is governed by the laws of the State of Georgia, without regard to its conflict-of-laws principles. The state and federal courts located in Fulton County, Georgia have sole jurisdiction over any dispute arising under or related to this Policy, and you consent to the personal jurisdiction of those courts. This Section 14 does not override any forum-selection or governing-law provision in a written agreement between your organization and the applicable Distribution Partner with respect to matters that agreement expressly addresses.
